As Corporate Affairs Officer (CAO), you are the primary legal point of contact within the organization and support the Executive Board and management at both strategic and operational levels. You safeguard corporate governance, coordinate legal processes at group level (including foreign subsidiaries), and play an active role in M&A projects. You combine strategic insight with a pragmatic approach and contribute to legally sound decision‑making in an international context. You report directly to the CEO and the Executive Board.

Your role

Board & Governance

  • Preparing and following up on Board and RemCo meetings (agendas, minutes, action items)
  • Advising on corporate governance and ensuring compliance with legal obligations
  • Acting as a liaison between management, the Board, and shareholders
  • Monitoring strategic objectives and KPIs Legal & Compliance
  • Overall responsibility for all legal matters at group level, including foreign subsidiaries
  • First point of contact for external lawyers and tax advisors
  • Drafting, reviewing, and negotiating commercial contracts (customers, suppliers, distribution, manufacturing, consultants, etc.)
  • Coordinating disputes and legal proceedings
  • Overseeing corporate housekeeping, data rooms, and internal policies (including GDPR and compliance)
  • Identifying and managing legal risks in support of the business M&A
  • Coordinating the legal aspects of acquisitions and other transactions (due diligence, documentation, negotiations)
  • Close collaboration with internal stakeholders and external advisors HR support
  • Legal support in employment and social law
  • Advice on employment contracts and cooperation with self‑employed contractors
  • Support in recruiting and onboarding key profiles

Your profile

Education & experience

  • Master of Laws (Belgium)
  • At least 5 years of broad legal experience (corporate law, governance, compliance, contract law)
  • Experience with M&A and corporate transactions
  • Knowledge of employment law and HR‑related regulations
  • Experience with international contracts and private international law is an asset
  • Knowledge of tax and financial law is a plus
  • Experience with litigation management is a strong advantage Competencies
  • Strong analytical and problem‑solving skills
  • Diplomatic and highly communicative, including in interactions with the Board and shareholders
  • Structured and able to manage multiple priorities
  • Independent, discreet, flexible, and reliable
  • Languages: Dutch (native), fluent in English and French
